End-User License Agreement

1. Agreement to Terms

This End-User License Agreement (“EULA”) is a legal agreement between you (“User” or “you”) and Epner Solutions OÜ (“Company,” “we,” “us,” or “our”) for the use of the SayGo mobile application (“App”). By downloading, installing, or using the App, you agree to be bound by this EULA. If you do not agree to this EULA, do not download, install, or use the App.

2. License Grant

Subject to the terms of this EULA, we grant you a limited, non-exclusive, non-transferable, revocable license to:

• Download and install the App on mobile devices that you own or control
• Use the App for personal or internal use purposes
• Access and use the features and functionality of the App as intended

3. License Restrictions

You agree not to:

• Copy, modify, or distribute the App or any portion thereof
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the App
• Rent, lease, lend, sell, sublicense, or otherwise transfer the App to any third party
• Remove, alter, or obscure any proprietary notices on the App
• se the App for any unlawful purpose or in violation of any applicable laws
• Use the App in any manner that could damage, disable, or impair the App or interfere with other users
• Attempt to gain unauthorized access to any portion of the App or its related systems
• Use automated scripts, bots, or other means to access or interact with the App

4. Intellectual Property Rights

The App and all copies thereof are proprietary to Epner Solutions OÜ and title thereto remains in Epner Solutions OÜ. All rights in the App not specifically granted in this EULA are reserved to Epner Solutions OÜ. The App is protected by copyright and other intellectual property laws and treaties.

Epner Solutions OÜ owns all right, title, and interest in and to the App, including but not limited to all software, code, graphics, logos, designs, text, images, audio, and video content contained therein. The SayGo name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Epner Solutions OÜ or its affiliates.

You may use screenshots of the App for personal, non-commercial purposes.

5. In-App Purchases and Subscriptions

The App may offer in-app purchases or subscriptions (“Premium Features”). If you choose to purchase Premium Features:

• Payment will be charged to your App Store or Google Play account
• Subscriptions automatically renew unless canceled at least 24 hours before the end of the current period
• You can manage and cancel subscriptions in your device’s account settings
• Refunds are subject to the policies of Apple App Store or Google Play Store
• Prices may change with notice, and continued use constitutes acceptance

6. User Content and Data The App allows you to create and store timer data, logs, and settings (“User Content”). You retain ownership of your User Content. By using the App, you grant us a limited license to store and process your User Content solely for the purpose of providing the App’s services.

You are responsible for maintaining the confidentiality of your account and for all activities that occur under your account. We are not responsible for any loss or damage arising from unauthorized access to your account.

7. Voice Commands Feature

The App includes voice command functionality. When enabled, voice data is processed locally on your device. If third-party speech recognition services are used in the future, this policy will be updated accordingly. We do not store or retain voice recordings. You are responsible for ensuring that your use of voice commands complies with applicable laws and does not infringe on the privacy of others.

8. Third-Party Services

The App may integrate with or contain links to third-party services, including but not limited to advertising networks and analytics providers. Your use of such third-party services is subject to their respective terms and privacy policies. We are not responsible for the content, privacy practices, or availability of third-party services.

9. Disclaimer of Warranties

THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. THE APP IS NOT INTENDED FOR USE IN SITUATIONS WHERE ACCURATE TIMING IS CRITICAL FOR SAFETY OR WHERE FAILURE COULD RESULT IN INJURY OR DAMAGE.

The App does not provide medical, health, or safety-critical advice.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL EPNER SOLUTIONS OÜ, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE APP, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US, IF ANY, FOR THE APP DURING THE SIX (6) MONTHS PRIOR TO THE CLAIM. NOTHING IN THIS EULA SHALL LIMIT LIABILITY WHERE SUCH LIMITATION IS NOT PERMITTED BY APPLICABLE LAW.

11. Indemnification

You agree to indemnify, defend, and hold harmless Epner Solutions OÜ and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, or expenses (including attorney’s fees) arising from: (a) your use of the App; (b) your violation of this EULA; (c) your violation of any third-party rights, including intellectual property rights; or (d) your violation of any applicable law.

12. Termination

This EULA is effective until terminated. We may terminate or suspend your access to the App immediately, without prior notice or liability, for any reasonable reason, including if you breach this EULA. Upon termination:

• All rights granted to you under this EULA will immediately cease
• You must cease all use of the App and delete all copies from your devices
• Provisions of this EULA that by their nature should survive termination shall survive

13. Updates and Modifications

We may update, modify, or discontinue the App or any features at any time without notice. We may also update this EULA from time to time. We will notify you of material changes by posting the new EULA in the App or through other communication channels. Your continued use of the App after such modifications constitutes your acceptance of the updated EULA.

14. Governing Law and Dispute Resolution

This EULA shall be governed by and construed in accordance with the laws of the Republic of Estonia, without regard to its conflict of law provisions. Any disputes arising out of or relating to this EULA shall be resolved exclusively in the courts of Estonia, and you consent to the personal jurisdiction of such courts.

15. Severability

If any provision of this EULA is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.

16. Entire Agreement

This EULA, together with our Privacy Policy and Terms of Service, constitutes the entire agreement between you and Epner Solutions OÜ regarding the App and supersedes all prior agreements and understandings, whether written or oral.
